Explanation of Responses:

1. Restricted stock granted pursuant to the Regional Health Properties, Inc.'s 2020 Stock Incentive Plan and in respect of 2021 compensation.

2. The shares of restricted stock will vest over a three-year period on the following schedule: (1) 8,000 shares on January 1, 2022; (2) 8,000 shares of January 1, 2023; and (3) 8,000 shares on January 1, 2024.
