Explanation of Responses:

1. The shares were issued to the Reporting Person pursuant to his election under the Issuer's director compensation program to receive such shares in lieu of cash fees of $23,750 for Board services for the fourth fiscal quarter of 2021. The shares were issued on the last day of the fourth fiscal quarter and the number of shares was calculated by dividing the cash fees to be paid for the quarter by the closing price of the Issuer's common stock on the last trading day of the quarter.

2. The shares are directly held by the David Mott Declaration of Trust dated May 31, 2001 as amended (the "Mott Trust"). The Reporting Person disclaims beneficial ownership within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, or otherwise of such portion of the Mott Trust shares in which the Reporting Person has no pecuniary interest.
