Explanation of Responses:

1. Includes 147,769 Restricted Stock Units ("RSUs") awarded under the Issuer's the 2020 Equity Incentive Plan, as amended from time to time ("the 2020 Plan") and will vest as follows: 25% of the RSUs vested on November 19, 2021 and the remaining 75% of the RSUs will vest over the 36-month period following April 12, 2021, in equal quarterly amounts. Notwithstanding the foregoing, 100% of the RSUs shall vest immediately upon a Change in Control (as defined in the 2020 Plan).

2. Received pursuant to certain Agreement and Plan of Merger (as it may be amended, supplemented or otherwise modified from time to time), dated as of June 17, 2021, by and among Leo Holdings III Corp, a Cayman Islands exempted company, Longleaf Merger Sub, Inc., a Delaware corporation, Longleaf Merger Sub II, LLC, a Delaware limited liability company, and the Issuer.
