Explanation of Responses:

1. Each share is represented by a Restricted Stock Unit ("RSU"). The RSUs will vest on the earlier of the one-year anniversary of the grant date, or the day prior to the Issuer's next Annual Meeting of Stockholders, subject to the Reporting Person's continued role as a service provider to the Issuer through the applicable vesting date.

2. Certain of these shares are represented by previously reported RSUs. Each RSU represents the Reporting Person's right to receive one share of Common Stock of the Issuer subject to the applicable vesting schedule and the Reporting Person's continued role as a service provider to the Issuer.
