Explanation of Responses:

1. Consists of shares of restricted stock units, granted pursuant to the Company's 2018 Omnibus Incentive Plan, which vest on March 13, 2023, March 13, 2024 and March 13, 2025.

2. On February 17, 2022, the Company paid a dividend of $0.12 per share of common stock, and upon such payment the Company awarded a number of deferred stock units on the reporting person's existing award of deferred restricted stock units having a value equal to the amount of the per share dividend multiplied by the number of deferred stock units held by such person. Each such deferred stock unit represents a contingent right to receive one share of common stock, subject to settlement on the same terms as the respective underlying deferred restricted stock units.
