Explanation of Responses:

1. On February 28, 2022, 22,599 of Mr. Olivier's restricted stock units ("RSUs"), granted on February 28, 2021, vested. On February 28, 2022, 9,402 of the 22,599 shares underlying these newly-vested RSUs were surrendered to satisfy the tax withholding obligation triggered upon the February 28th vesting. The surrender of shares is the Company's default process for paying tax withholding obligations triggered upon the vesting of RSUs.
