Explanation of Responses:

1. On August 23, 2022, 52,447 restricted stock units ("RSUs"), granted to Mr. Olivier on August 23, 2021, vested immediately. On August 23, 2022, 22,867 of the 52,447 shares underlying the newly-vested RSUs were surrendered to satisfy the tax withholding obligation triggered upon the August 23rd vesting. The surrender of shares is the Company's default process for paying tax withholding obligations triggered upon the vesting of RSUs.
