1. Securities forfeited to the Issuer pursuant to a forfeiture agreement.

2. Includes shares issued pursuant to rights upon the completion of the Issuer's initial business combination.

3. Each warrant will expire on July 20, 2026. Each warrant entitles the holder to purchase one share of Class A Common Stock at a price of $11.50 per share, subject to adjustment in the event of certain capital-raising transactions.
