Explanation of Responses:

1. The Reporting Person received an award of 81,878 restricted stock units on March 5, 2021. The restricted stock units vest as to (i) 25% on March 5, 2022; (ii) 25% on March 5, 2023; (iii) 25% on March 5, 2024 and (iv) 25% on March 5, 2025. Each restricted stock unit represents a right to receive one share of Issuer common stock upon vesting.
