1. Represents restricted stock units that are scheduled to vest in full on the earlier of one year after the date of grant or the date of the next year's annual meeting of stockholders, and will be settled in shares of Class A common stock on a one-for-one basis.

2. Consists of 14,240,187 shares of Class A Common Stock held by Onyx Enterprises Canada Inc. Mr. Pathak serves as the President and a director of Onyx Enterprises Canada Inc. Mr. Pathak disclaims beneficial ownership of such shares, except to the extent of his pecuniary interest therein.
