Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $7.38 to $7.58, inclusive. The reporting person undertakes to provide to Manning & Napier, Inc., any security holder of Manning & Napier, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth in the footnote to this Form 4.

2. Includes 117,476 restricted stock units that will convert to common stock on a one-for-one basis. The restricted stock units are subject to time vesting as follows: (i) 9,346 of such restricted stock units will vest on December 31, 2021; (ii) 4,673 of such restricted stock units will vest on December 31, 2022; (iii) one fourth of 78,947 of such restricted stock units will vest on each of February 3, 2022, February 3, 2023, February 3, 2024 and February 3, 2025; and (iv) one fourth of 24,510 of such restricted stock units will vest on each of February 1, 2023, February 1, 2024, February 1, 2025 and February 1, 2026.
