Explanation of Responses:

1. The restricted stock units set forth in this table vests as to 20% on the first anniversary of the date of grant, 30% on the second anniversary of the date of grant, and 50% on the third anniversary of the date of grant, subject to the grantee's continued service to the Company on each vesting date.

2. Includes 1,239 shares acquired by the Reporting Person pursuant to the Issuer's 2020 Employee Stock Purchase Plan ("ESPP") for the purchase period of April 1, 2021 to September 30, 2021. In accordance with the ESPP, these shares were purchased at a price equal to 85% of the closing price of the Issuer's common stock on September 30, 2021. This transaction is exempt under Rule 16b-3(c).
