Explanation of Responses:

1. On May 21, 2021, the Issuer approved compensation with respect to its Board of Directors. This compensation includes a quarterly stock award for the retainer for the reporting person's service on the Board of Directors, based on the market value of the Issuer's common stock at the close of business on September 1, 2021. The stock award is being made under the Issuer's 2019 Stock Incentive Plan.
