Explanation of Responses:

1. Represents 490,483 restricted stock units ("RSUs") granted under the Rubicon Technologies, Inc. 2022 Equity Incentive Plan. Each RSU represents the right to receive one share of Class A common stock of the Issuer. The RSUs are fully vested on the date of grant and will be settled after February 11, 2023 but before March 15, 2023.
