Explanation of Responses:

1. The new grant is for 20,744 shares of common stock represented by restricted stock units, representing an annual independent director board service award. The restrictions on 100% of the shares will lapse on June 15, 2023.

2. The total number of securities beneficially owned includes (a) 3,500 unrestricted shares; (b) 3,295 unvested units from an award of 3,295 time-based restricted stock units granted 12/15/21; and (c) the new grant for 20,744 time-based restricted stock units.
