Explanation of Responses:

1. These shares represent the amount of restricted stock awards disposed of as a result of the merger agreement with Tribune Enterprises, LLC ("Parent") and Tribune Merger Sub, Inc. ("Merger Sub").

2. Stock units convert into common stock on a one-for-one basis.

3. Represents stock units granted in lieu of cash director fees payable to the reporting person. The stock units are to be settled in shares of the Company's common stock upon the earlier of (i) the reporting person's termination of service as a director of the Company and (ii) a change in control (as defined in the tronc, Inc. 2014 Omnibus Incentive Plan, as amended). These stock units were settled in cash on May 24, 2021 as a result of the merger agreement with Parent and Merger Sub.

Remarks:

The Reporting Person is filing this exit Form 4 to reflect that he is no longer a Section 16 reporting person, as of May 24, 2021, as a result of the merger agreement with Parent and Merger Sub. Exhibit 24 Power of Attorney filed herewith.
