1. Represents shares underlying the grant of restricted stock units that are to be settled in common stock upon vesting. The restricted stock units will vest in full on the earlier of: (a) the first anniversary of the date of grant; and (b) the date of the Corporation's 2023 Annual Meeting; that such awards shall be subject to a Time-Based Restricted Stock Unit Award Agreement in accordance with the Second Amended & Restated 2015 Omnibus Incentive Plan.
