Explanation of Responses:

1. Each Restricted Stock Unit represents the right to receive one share of Common Stock.

2. Represents the shares automatically sold by the reporting person pursuant to an election to satisfy tax withholding obligations in connection with the vesting of the Restricted Stock Units listed in Table II. This sale does not represent a discretionary trade by the reporting person.

3. This transaction was executed in multiple trades at prices ranging from $ 1.4600 to $1.4947. The price reported above reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.

4. On February 1, 2019, the reporting person was granted 59,988 Restricted Stock Units. 25% of such Restricted Stock Units vested on February 1, 2020, and the remainder vests in substantially equal installments over the 12 quarters immediately following such date.

5. On January 31, 2020, the reporting person was granted 74,000 Restricted Stock Units. 25% of such Restricted Stock Units vested on February 1, 2021, and the remainder vests in substantially equal installments over the 12 quarters immediately following such date.
