1. The Reporting Person was granted restricted stock which vests on June 30, 2023 provided that the Reporting Person remains as a director of Boston Omaha Corporation on such vesting date, subject to certain exemptions.

2. The reported shares were issued pursuant to the Boston Omaha Corporation 2022 Long-Term Incentive Plan.
