Explanation of Responses:

1. Restricted stock units ("RSUs") convert into common stock on a one-for-one basis.

2. On March 16, 2022, the reporting person was granted 6,250 RSUs, vesting on the day of the Issuer's first annual meeting of stockholders following the grant date, subject to continuing service on the Issuer's board of directors through the applicable vesting date.

3. The RSUs vest on the earlier of (i) the day immediately preceding the date of the Issuer's first annual meeting of stockholders following the grant date and (ii) the anniversary of the grant date (September 15, 2023), subject to continuing service on the Issuer's board of directors through the applicable vesting date.
