Explanation of Responses:

1. Shares sold to cover tax obligations in connection with the vesting of Restricted Stock Units ("RSUs").

2. This sale price represents the weighted average sale price of the shares sold ranging from $8.59 to $8.99 per share. Upon request by the Commission staff, the Issuer, or a security holder of the Issuer, the Reporting Person will provide full information regarding the number of shares sold at each separate price within the range set forth in this Form 4.

3. Certain of these shares are represented by previously reported RSUs. Each RSU represents the Reporting Person's right to receive one share of Common Stock of the Issuer subject to the applicable vesting schedule and the Reporting Person continuing to be a Service Provider through each such date.

4. These shares are held of record by The Sayar Family Trust, for which the Reporting Person serves as co-trustee.

5. Shares are held in trusts for the benefit of each of the Reporting Person's children. The Reporting Person disclaims beneficial ownership of these securities, and the filing of this report is not an admission that the Reporting Person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
