Explanation of Responses:

1. Consists of grant of 9,000 shares, of which 3,000 vest immediately, 3,000 will vest on June 2, 2023, and 3,000 will vest on June 2, 2024.

2. The Reporting Person is a director of Manitex International, Inc. (the "Issuer") and an employee of Tadano Ltd. ("Tadano"). The Reporting Person serves as a director of the Issuer pursuant to Tadano's right under the Securities Purchase Agreement, dated as of May 24, 2018, by and between the Issuer and Tadano, to nominate one individual to serve on the Board of Directors of the Issuer. These shares were assigned to Tadano under the terms of the Reporting Person's arrangement with Tadano. As a result, the Reporting Person disclaims any pecuniary interest in these shares.

SEC Form 4: Schiller Ingo was granted 9,000 shares
