Explanation of Responses:

1. Includes 539 shares which are held in a constructive trust for Eugenia Sege pursuant to the terms of a divorce decree dated December 17, 2017.

2. The sales reported on this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on November 30, 2020. The proceeds from the sale of 539 shares, net of the exercise price, will be provided to Eugenia Sege pursuant to a constructive trust established under a divorce decree dated December 17, 2017.

3. The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $301.13 to $305.45, inclusive. The reporting person undertakes to provide Ubiquiti Inc., any security holder of Ubiquiti Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnote (3) to this Form 4.

4. 1/3 of the shares originally subject to the options became vested on October 4, 2013, and 1/36th of the shares originally subject to the options vested each month thereafter such that all shares were fully vested on October 4, 2015.
