1. Each Depository Shares represents a 1/40th interest in a share of the Issuer's 7.125% Series C Fixed Rate Non-Cumulative Perpetual Preferred Stock, par value $0.01 per share.

2. The reported price in column 4 represents the weighted average price per share. Reporting person shall provide upon request by the Commission staff, the Issuer, or a security holder of the issuer, full information regarding the number of shares purchased at each separate price.

3. Consists of (i) 248,516 shares beneficially owned by reporting person, and (ii) 163,726 shares beneficially owned jointly with spouse Susan S. Sepulveda.
