Explanation of Responses:

1. The Reporting Person was granted an award of 100,000 restricted stock units ("RSUs) on January 1, 2023 under the Company's Amended and Restated Restricted Share Unit Plan. Fifty percent of the RSUs will vest on January 1, 2024. The remaining 50% will vest on January 1, 2025.
