Explanation of Responses:

1. Represents the number of shares of the Issuer's common stock ("Common Stock") underlying restricted stock units ("RSUs"). Each RSU represents the contingent right to receive one share of Common Stock upon settlement. 1/2 of the RSUs vest and settle into Common Stock on March 15, 2023, and 1/2 of the RSUs vest and settle into Common Stock on the earlier of (i) June 15, 2023 and (ii) the first annual general meeting of Company stockholders following November 18, 2022, subject to the Reporting Person's Continuous Service (as defined in the Issuer's 2022 Equity Incentive Plan) through each such date.
