Explanation of Responses:

1. The grant of restricted stock units ("RSUs") was approved by the Issuer's Board of Directors on December 4, 2022 in accordance with the terms of the Issuer's Amended and Restated 2014 Equity Incentive Plan. Each RSU represents the economic equivalent of one share of the Issuer's common stock and shall be settled in shares of the Issuer's common stock upon vesting. The RSUs fully vested on December 4, 2022 and were delivered to the Reporting Person upon settlement.

2. Includes 51,721 unvested RSUs.
