Explanation of Responses:

1. These shares were withheld by the Company to satisfy tax withholding obligations incurred in connection with the vesting of restricted stock units previously granted under the issuer's equity incentive plan. The number of shares withheld by the Company was determined based on the closing price per share of the Company's common stock on March 3, 2023, the vesting date.
