Explanation of Responses:

1. On August 12, 2021, as part of his annual director's compensation, Mr. Swets was granted 10,000 shares of common stock pursuant to the Company's 2020 Restricted Stock Plan, whereby equal installments of 2,500 shares vest on the last day of each calendar quarter, beginning on September 30, 2021.
