Explanation of Responses:

1. On February 13, 2021, 3,880 restricted shares of Mr. Ringgenberg's Company stock, granted February 13, 2018, vested. On February 17, 2021, an automatic broker sale of 1,772 of the 3,880 newly-vested shares was effected to satisfy the tax withholding obligation triggered upon the February 13th vesting. The automatic broker sale of newly-vested shares is the Company's default process for paying tax withholding obligations triggered upon the vesting of restricted stock.

2. This total has been adjusted to report 133,664 performance-based shares that did not vest and were forfeited on December 31, 2020.
