Explanation of Responses:

1. The Common Stock shall vest in four quarterly installments from the date of grant provided that the Common Stock shall vest in full upon the earlier to occur of: (i) the day prior to the 2024 Annual Shareholders Meeting, or (ii) the one (1) year anniversary of the Annual Shareholders Meeting on which the Stock Award was granted, subject to continued service.
