Explanation of Responses:

1. Represents restricted stock units ("RSUs") granted on August 31, 2022. One hundred percent (100%) of the total number of RSUs granted vest on the earlier of (i) June 22, 2023 or (ii) the date of the Company's 2023 Annual Meeting of Stockholders.

2. One third of the aggregate amount of option shares shall vest on each of August 31, 2023, 2024 and 2025, respectively.
