Explanation of Responses:

1. Shares were issued pursuant to Herman Miller?s acquisition of Knoll in respect of shares of Knoll common stock held as of immediately prior to the effective time of the merger. In the merger, each share of Knoll common stock (subject to certain exceptions as set forth in the merger agreement) was converted into the right to receive 0.32 shares of Herman Miller common stock and $11.00 in cash, with cash paid in lieu of fractional shares.
