Explanation of Responses:

1. Vesting of 1/3 of restricted stock which was granted on 06/01/2020 and vests in three equal installments on 02/13/2021, 02/13/2022, and 02/13/2023.

2. Granted as officer compensation. Converts into common stock on a one-for-one basis.

3. Withheld for tax liability.

4. One half of award vests ratably over 3 years on 02/13/2021, 02/13/2022, and 02/13/2023. The remaining 50% vest at the end of three years subject to performance criteria.
