Explanation of Responses:

1. On February 3, 2021, the Compensation Committee of the Board of Directors of the Issuer certified that certain performance metrics under previously granted performance stock units were satisfied. These performance stock units were granted on April 11, 2019 under the Company's Second Amended and Restated 2014 Stock Incentive Plan pursuant to a 2019 Performance Stock Unit Award Agreement, and vest on December 31, 2021 as long as the Reporting Person is serving as an employee of the Issuer on such date.

2. On February 3, 2021, the Compensation Committee of the Board of Directors of the Issuer certified that certain performance metrics under previously granted performance stock units were satisfied. These performance stock units were granted on April 15, 2019 under the Company's Second Amended and Restated 2014 Stock Incentive Plan pursuant to a 2019 Integration Bonus Performance Stock Unit Award Agreement, and vest on December 31, 2021 as long as the Reporting Person is serving as an employee of the Issuer on such date.

3. Reflects the shares withheld to cover the payment of taxes following the vesting of 1,913 restricted stock units granted on November 10, 2020.
