Explanation of Responses:

1. The sales reported on this Form 4 were effected to satisfy tax withholding obligations in connection with the settlement of restricted stock units as part of a "sell to cover" transaction and do not represent discretionary trades by the reporting person.

2. On April 6, 2022, the reporting person filed a Form 4 that incorrectly reported 8,922,663 shares beneficially owned following the transaction reported on that form. The correct number should have been 7,322,732 shares. On May 10, 2022, the reporting person filed a Form 4 that incorrectly reported 8,893,409 shares beneficially owned following the transaction reported on that form. The correct number should have been 7,293,478 shares.
