Explanation of Responses:

1. Mr. Hunter was awarded 100,000 shares of restricted stock, pursuant to the Issuer's 2022 Equity Incentive Plan. All of the shares of restricted stock vest on February 29, 2024, subject to Mr. Hunter continuing to be a director to the Company on such date.

2. The shares of restricted stock were awarded as a bonus in connection with Mr. Hunter's services as an independent director of the Issuer.
