Explanation of Responses:

1. Shares are time-based restricted stock units ("RSUs"). One-third of the RSUs shall vest on each of the first three (3) anniversaries of the vesting start date of October 15, 2021. Notwithstanding the foregoing, the RSUs will have vesting accelerated in full upon a change in control (as defined by the Issuer's 2021 Equity Incentive Plan) which occurs prior to, or at the time of, termination of the reporting person's continuous service.
