38,951,765 Shares of Common Stock

Pursuant to this prospectus supplement, the accompanying prospectus supplement and the accompanying base prospectus, we are offering 38,951,765 shares of our common stock, par value $0.0001 per share, to Triton Funds LP (“Triton”) pursuant to our previously announced Common Stock Purchase Agreement with Triton dated July 24, 2024 (the “CSPA”). These shares are being issued as part of the commitment by Triton to purchase from time to time up to $25,000,000 of shares of our common stock pursuant to the CSPA.

Each sale we request under the CSPA (a “Purchase Notice”), absent waiver from Triton in accordance with the CSPA, may be for a number of shares of our common stock that does not exceed 4.9% of our outstanding shares, which 4.9% amount is currently 7,790,353 shares, as of the date of the CSPA (the “Commitment Shares”). Triton has committed to purchase the Commitment Shares at 80% of the lowest traded price of our common stock five days prior to the closing date for that tranche of shares (the “Purchase Price”).

We issued a purchase notice for 7,790,353 shares on July 31, 2024 (the “First Purchase Notice”). The closing under the First Purchase Notice took place on August 2, 2024 at a price per share of $0.02384 raising gross proceeds of $185,722.

We issued a second purchase notice for 15,580,706 shares on July 31 (the “Second Purchase Notice”). The closing under the Second Purchase Notice took place on August 5, 2024, at a price per share of $0.02384 raising gross proceeds of $371,444.

We issued a third purchase notice for 15,580,706 shares on August 1 (the “Third Purchase Notice”). The closing under the Third Purchase Notice took place on August 6, 2024, at a price per share of $0.01808 raising gross proceeds of $281,699.

This prospectus supplement and the accompanying prospectus also cover the sale of these shares by Triton to the public. Triton is deemed to be an “underwriter” within the meaning of the Securities Act of 1933, as amended (the “Securities Act”), and the compensation and discounts received by Triton will be deemed to be underwriting commissions or discounts. We will pay for expenses of this offering. For additional information on the methods of sale that may be used by Triton, see the section entitled “Plan of Distribution” on page S-14.

Our common stock is listed on the Nasdaq Global Market under the symbol “PRST”. On August 6, 2024, the closing price of our common stock, as reported on the Nasdaq Global Market, was $0.031 per share.

Investing in our common stock involves a high degree of risk. In particular, you should note that the Company is required to raise $2.0 million on or before each of August 1, 2024, August 15, 2024 and August 29, 2024 (each, a “Forbearance Date”) for a cumulative total of $6.0 million in order to prevent its senior secured lender from exercising remedies against the Company, including but not limited to an Article 9 foreclosure, which would result in the Company’s common stock, including the common stock offered hereby, becoming worthless. The Company has obtained a further waiver of the August 1, 2024 deadline and is required to raise $4.0 million on or before August 15, 2024. There is no guarantee from any third-party for such amounts. Accordingly, you will lose all of your investment if this offering, pursuant to the Company’s agreement with Triton, does not raise the amounts described above.

The Company is required to raise an additional $32.0 million by no later than the Forbearance Date in order to facilitate negotiations with its senior secured lender for the assignment and restructuring of its loan. The Company has received no indications of interest from outside investors to make such investment since the opportunity to seek such an investment was granted on May 16, 2024. While there exists a possibility that such an investment may be secured, the Company considers this outcome to be extremely unlikely. Accordingly, the Company believes that it is extremely likely that you will lose all of your investment in this offering because the senior secured lender will be free to exercise remedies at that time.

The direct use of proceeds for this offering is working capital and other general corporate purposes. However, indirectly the funds raised in this offering may solely benefit our senior secured lender with whom we are currently cooperating to find a potential purchaser for our business in the event of an Article 9 foreclosure. By funding our business through this offering until such a purchaser is located, the date on which our lender would need to fund our business and operations prior to any such sale is deferred.

The Company expects that its stock will be delisted from the Nasdaq Stock Market (“Nasdaq”) on or about August 8, 2024. The liquidity of the Company’s common stock may be materially adversely affected.

The Company is examining whether it will be eligible to terminate the registration of its common stock under the Exchange Act of 1934, as amended. If eligible, such termination would result in the Company ceasing to file Forms 10-K, 10-Q and 8-K in the near future. The Company’s common stock would remain outstanding, but its liquidity may be materially adversely affected.

Our Business

Overview

Presto provides enterprise-grade AI and automation solutions to the restaurant industry. Presto’s solutions are designed to decrease labor costs, improve staff productivity, increase revenue and enhance the guest experience. We offer our industry-leading AI solution, Presto Voice, to quick service restaurants (QSR), and we have some of the most recognized restaurant names in the United States as our customers.

Following our founding in 2008, we initially focused exclusively on Presto Touch, a pay-at-table tablet solution. As a result of the Presto Voice opportunities, we have taken decisive action to focus on this solution and, as has been disclosed previously, we exited the Presto Touch business line with the expiration of our final customer contracts at the end of June 2024. Our Presto Voice product line addresses the pressing needs of drive-thru restaurant operators by improving order accuracy, reducing labor costs and increasing revenue through menu upselling, while also providing guests with an improved drive-thru experience.

Cooperation Agreement

As previously disclosed, on May 16, 2024, the Company entered into a Cooperation Agreement, as amended on July 19, 2024 (the “Cooperation Agreement”), with Metropolitan Partners Group Administration, LLC, the administrative, payment and collateral agent (the “Agent”) under the Credit Agreement, dated as of September 21, 2022 (as amended, the “Credit Agreement”), Metropolitan Levered Partners Fund VII, LP, Metropolitan Partners Fund VII, LP, Metropolitan Offshore Partners Fund VII, LP and CEOF Holdings LP (collectively, the “Lenders”). Capitalized terms used and not defined below have the meanings set forth in the Credit Agreement.

The Cooperation Agreement provides that the Lenders will not exercise remedies as a result of certain continuing events of default under the Credit Agreement, subject to the following agreements and conditions (the “Forbearance”):

If the Company raises net cash proceeds equal to or greater than $1.5 million in a private offering by July 22, 2024, the Agent and the Lenders agree to extend the Forbearance termination date (the “Termination Date”) to August 1, 2024;

●

If the Company raises additional net cash proceeds equal to or greater than $2.0 million (for a total of $3.5 million) or more by August 1, 2024, the Termination Date shall be automatically extended to August 15, 2024;

●

If the Company raises additional net cash proceeds equal to or greater than $2.0 million (for a total of $5.5 million) or more by August 15, 2024, the Termination Date shall be automatically extended to August 29, 2024; and

●

If the Company raises additional net cash proceeds equal to or greater than $2.0 million (for a total of $7.5 million) or more by August 29, 2024, the Termination Date shall be automatically extended to September 15, 2024.

Assuming continued Forbearance, the Lenders have agreed to engage in good faith discussions to conclude a binding agreement (the “Offer”) with a third-party submitted by any Loan Party or Significant Stakeholder (as defined in the Cooperation Agreement) to purchase all of the Lenders’ rights and obligations under the Loan Documents, provided that such Offer is (A) for a cash purchase price of at least $20.0 million, (B) accompanied by a binding commitment by the Borrower to issue one or more promissory notes to the Lenders (the “Convertible Notes”) in an aggregate principal amount equal to fifty percent (50%) of the outstanding balance of the Obligations (as defined in the Credit Agreement) less the proposed cash purchase price, which Convertible Notes shall be convertible into equity of the Company of the same class and on the same terms as are set out in that certain convertible subordinated note issued to Remus Capital Series B II, L.P. on January 30, 2024, and (C) accompanied by evidence, in form and substance satisfactory to the Lenders in their sole discretion, reflecting that the Offer will provide us with operating capital of not less than $12.0 million, not including the cash purchase price described in subparagraph (A) above. To the extent that the operating capital is less than $18.0 million, the amount of the convertible note described above will be increased by a dollar amount equal the reduction in operating capital below $18.0 million.

Status of Capital Raise

Efforts to raise capital to achieve the $32.0 million investment described above have been led solely by the Company’s director, Krishna Gupta:

The Company has not received any indication of interest from a third party investor to invest any amount in the Company since the Cooperation Agreement was signed on May 16, 2024; and

●

Mr. Gupta has indicated to the board that Remus Capital has “circled” $10.0 million; however, despite requests by the board, Mr. Gupta has not provided any evidence of the existence of such funds.

While there exists a possibility that such an investment may be secured before Forbearance terminates, the Company considers this outcome extremely unlikely. Accordingly, the Company believes that it is extremely likely that you will lose all of your investment.

Status of Nasdaq Listing

As previously disclosed, the Company received a delisting notification from Nasdaq based on its failure to maintain a $1 per share bid price. This offering will almost certainly violate Nasdaq Listing Rule 5635(d). As a result, the Company expects to lose the appeal that it has submitted to Nasdaq to become compliant with Nasdaq listing requirements, and the Company expects that its common stock will be delisted on or about August 8, 2024.

Status of Issuance of Anti-dilution Shares

On July 16, 2024, the Company’s shareholders approved the issuance of shares and the potential issuance of shares underlying notes and warrants, in each case, pursuant to anti-dilution rights granted to holders of the Company’s securities:

50,471,013 shares to Presto CA LLC (“CA”), an affiliate of Cleveland Avenue LLC (“Cleveland Avenue”). Cleveland Avenue is a significant stockholder of the Company, and Keith Kravcik, a director of the Company, is the Chief Investment Officer of all of Cleveland Avenue’s various Investment Funds, including the funds invested in the Company;

37,112,611 shares to investors in the Company’s registered direct offerings in November 2023 and May 2024 that held such shares as of the anti-dilution trigger date;

●

136,765,002 shares underlying warrants issued to the Lenders; and

●

137,913,043 shares underlying convertible notes issued in January 2024.

The Company is examining the steps that are required to issue such securities in compliance with applicable securities laws, including the filing of a resale registration statement on Form S-1 with respect to some or all of such securities. The Company has insufficient funds currently to complete such actions given its liquidity position.

Results of Operations and Business Update

The Company currently has cash and cash equivalents sufficient to operate its business through the end of July 2024. The Company requires approximately $3.0 million each month to operate its business.

The Company has agreed to pay its Lenders $375,000 in interest and to reimburse them $210,000 in fees and expenses on or before August 9, 2024. The Company’s failure to make such payments is an event of default.

Franchisee Update

A brand owner, with whom the Company does not have a direct agreement, whose franchisees account for approximately 90% of the Company’s installed base, recently advised those franchisees that they may face potential lawsuits for infringing the California Invasion of Privacy Act (the “Act”) as a result of the use of drive-through AI technology. This follows a purported class action lawsuit filed in California in February 2024 alleging that the use of drive-through AI technology such as the Presto Voice solution constitutes wiretapping under the Act due to a lack of consent from drive-through customers. The lawsuit was withdrawn by the plaintiff and dismissed without prejudice, meaning that the claim could be filed again. As a result of the brand owner’s advice, two franchisees, operating 40 locations in which the Company’s technology is installed, have recently paused further installations. The Company cannot be certain whether there will be any additional impact.

This offering will result in massive dilution to our existing equityholders.

We currently have outstanding approximately 159 million shares of common stock. This does not include 116,453,042 shares that we have committed to issue pursuant to anti-dilution rights and a further 157,088,300 shares underlying warrants issued to the Lenders and up to 188,848,319 shares underlying convertible notes issued to investors as of June 30, 2024. In order to raise $6.0 million, assuming a 20% discount to the closing price of our shares immediately prior to this prospectus, we would need to issue approximately 112 million additional shares. This level of dilution, together with the issuance of the previously mentioned antidilution shares, is likely to have a significant impact on the price of our shares.

The structure of the offering with Triton is likely to cause a significant decline in our share price.

Triton has committed to purchase shares that we seek to put to it pursuant to a purchase notice that we deliver for a price equal to 80% of the lowest trading price during the 5 trading days before closing. Closing is three trading days after we give Triton a notice. When we entered into a similar agreement with Triton previously, our share price prior to signing the agreement was $0.15. When we concluded the purchases thereunder, the share price was $0.10, but had dropped to as low as approximately $0.08. We expect that a similar reduction in share price may occur as a result of our current agreement with Triton.

FATCA Withholding Taxes

Thirty percent withholding under FATCA was scheduled to apply to payments of gross proceeds from the sale or other disposition of property that produces U.S.-source interest or dividends beginning on January 1, 2019, but on December 13, 2018, the IRS released proposed regulations that, if finalized in their proposed form, would eliminate the obligation to withhold on gross proceeds. We provide enterprise grade AI and automation solutions to the restaurant enterprise technology industry. Our solutions are designed to decrease labor costs, improve staff productivity, increase revenue and enhance the guest experience.
