State Street Corporation is offering depositary shares, each representing a 1/100th ownership interest in a share of our Fixed Rate Reset Non-Cumulative Perpetual Preferred Stock, Series L, without par value per share, with a liquidation preference of $100,000 per share (equivalent to $1,000 per depositary share) (the “Series L Preferred Stock”). As a holder of depositary shares, you will be entitled to all proportional rights, preferences and other provisions of the Series L Preferred Stock (including those related to dividends, voting, redemption and liquidation). You must exercise such rights through the depositary.

Dividends on the Series L Preferred Stock, when, as and if declared by our board of directors or any duly authorized committee of our board of directors, will be payable on the liquidation preference amount, on a non-cumulative basis, quarterly in arrears on the 15th day of March, June, September and December of each year, commencing on December 15, 2026. Dividends will accrue when, as and if declared, (i) from the date of issuance to, but excluding, September 15, 2031 at a fixed rate of % per annum and (ii) from and including September 15, 2031, for each reset period (as described in this prospectus supplement), at a rate per annum equal to the five-year treasury rate (as described in this prospectus supplement) as of the most recent reset dividend determination date (as described in this prospectus supplement) plus a spread of %.

Dividends on the Series L Preferred Stock will not be cumulative. If for any reason our board of directors or any duly authorized committee of our board of directors does not declare a dividend on the Series L Preferred Stock for any dividend period, such dividend will not accrue or be payable, and we will have no obligation to pay dividends for such dividend period, whether or not dividends on the Series L Preferred Stock are declared for any future dividend period. Dividends on the Series L Preferred Stock will not be declared, paid or set aside for payment to the extent such act would cause us to fail to comply with applicable laws or regulations, including applicable capital adequacy regulations and guidelines.

The Series L Preferred Stock has no stated maturity, is not subject to any mandatory redemption, sinking fund or other similar provisions and will remain outstanding unless redeemed at our option. We may redeem the Series L Preferred Stock at our option, subject to regulatory approval, (1) in whole or in part, on any dividend payment date on or after September 15, 2031 at a redemption price equal to $100,000 per share (equivalent to $1,000 per depositary share) plus any declared and unpaid dividends, or (2) in whole but not in part, at any time within 90 days following a regulatory capital treatment event (as defined herein), at a redemption price equal to $100,000 per share (equivalent to $1,000 per depositary share), plus any declared and unpaid dividends.

The Series L Preferred Stock will not have any voting rights, except as set forth under “Description of Series L Preferred Stock—Voting Rights” beginning on page S-32 of this prospectus supplement. We do not intend to list the depositary shares on any national securities exchange or quotation system.

On July 23, 2026, State Street Bank issued $750,000,000 aggregate principal amount of 4.701% Senior Notes due 2029 and $500,000,000 aggregate principal amount of 5.217% Senior Notes due 2034, in an offering exempt from registration under Section 3(a)(2) of the Securities Act of 1933, as amended (the “Bank Offering”). The Series L Preferred Stock offered hereby will be structurally subordinated to all existing and any future obligations of State Street Bank, including the notes issued in the Bank Offering. Dividends

We will pay dividends on the Series L Preferred Stock, when, as and if declared by our board of directors or any duly authorized committee of our board of directors. Dividends on the Series L Preferred Stock will accrue on the liquidation preference amount of $100,000 per share (equivalent to $1,000 per depositary share) (i) from the date of issuance to, but excluding, September 15, 2031 (the “First Reset Date”) at a fixed rate of % per annum and (ii) from and including the First Reset Date, during each reset period, at a rate per annum equal to the five-year treasury rate (as described elsewhere in this prospectus supplement) as of the most recent reset dividend determination date plus a spread of %. Dividends will be payable quarterly in arrears on each dividend payment date.

A “reset date” means the First Reset Date and each subsequent date falling on the fifth anniversary of the preceding reset date. If any reset date, including the First Reset Date, falls on a day that is not a business day, such reset date will not be adjusted to a day that is a business day. A “reset period” means, initially, the period from and including the First Reset Date to, but excluding, the next following reset date, and, thereafter, each period from and including each reset date to, but excluding, the next following reset date. A “reset dividend determination date” means, in respect of any reset period, the day falling three business days prior to the first day of such reset period. Dividends declared and paid will be distributed to holders of depositary shares in the manner described under “Description of Depositary Shares—Dividends and Other Distributions” below.

Dividends on the Series L Preferred Stock will not be cumulative and will not be mandatory. If our board of directors or any duly

authorized committee of our board of directors does not declare a dividend on the Series L Preferred Stock in respect of a dividend period, then no dividend shall be deemed to have accrued for such dividend period, be payable on the applicable dividend payment date, or be cumulative, and we will have no obligation to pay any dividend for that dividend period, whether or not our board of directors or any duly authorized committee of our board of directors declares a dividend on the Series L Preferred Stock for any future dividend period.

So long as any share of Series L Preferred Stock remains outstanding,

no dividend shall be declared or paid or set aside for payment and no distribution shall be declared or made or set aside for payment on any junior stock (other than a dividend payable solely in junior stock or any dividend or distribution of capital stock or rights to acquire capital stock of State Street in connection with a shareholders’ rights plan or any redemption or repurchase of capital stock or rights to acquire capital stock under any such plan); and

When dividends are not paid in full upon the shares of Series L Preferred Stock and any class or series of parity stock (as defined under “Description of Series L Preferred Stock—Dividends”), all dividends declared upon shares of Series L Preferred Stock and any such parity stock will be declared on a proportional basis so that the amount of dividends declared per share will bear to each other the same ratio as the ratio between the then-current dividends due on the shares of the Series L Preferred Stock and (i) in the case of any series of parity stock that is non-cumulative preferred stock, the aggregate of the current and unpaid dividends due on such series of preferred stock, and (ii) in the case of any series of parity stock that is cumulative preferred stock, the aggregate of the current and accumulated and unpaid dividends due on such series of preferred stock.

Subject to the foregoing, dividends (payable in cash, stock or otherwise), as may be determined by our board of directors or any duly authorized committee of our board of directors, may be declared and paid on our common stock and any other securities ranking equally with or junior to the Series L Preferred Stock from time to time only out of any assets legally available for such payment, and the holders of the Series L Preferred Stock shall not be entitled to participate in any such dividend.

Dividends on the Series L Preferred Stock shall not be declared, paid or set aside for payment to the extent such act would cause us to fail to comply with laws or regulations applicable thereto, including applicable capital adequacy regulations and guidelines.

Dividend Payment Dates

The 15th day of March, June, September and December of each year, commencing on December 15, 2026 (each a “dividend payment date”). If any date on which dividends would otherwise be payable is not a business day, then payment of the dividends otherwise payable on such date will be made on the next succeeding business day, without interest or other payment in respect of such delay.

Redemption

On September 15, 2031, or any dividend payment date thereafter, the Series L Preferred Stock may be redeemed at our option, in whole or in part, at a redemption price equal to $100,000 per share (equivalent to $1,000 per depositary share) plus any declared and unpaid dividends, without accumulation of any undeclared dividends. The Series L Preferred Stock may be redeemed at our option in whole, but not in part, prior to September 15, 2031, upon the occurrence of a “regulatory capital treatment event,” as described below under “Description of Series L Preferred Stock—Redemption,” at a redemption price equal to $100,000 per share (equivalent to $1,000 per depositary share) plus any declared and unpaid dividends, without accumulation of any undeclared dividends. Preferred Stock. Our redemption of the Series L Preferred Stock will cause the redemption of the corresponding depositary shares.

Under the Board of Governors of the Federal Reserve System’s (the “Federal Reserve”) current risk-based capital regulations and guidelines applicable to bank holding companies, any redemption of the Series L Preferred Stock is subject to prior approval of the Federal Reserve. In addition, prior to exercising our option to redeem the Series L Preferred Stock, or immediately thereafter, State Street will be required to either replace the shares to be redeemed with an equivalent amount of financial instruments that meet the Federal Reserve’s criteria for common equity tier 1 capital or additional tier 1 capital, or demonstrate to the Federal Reserve that following such redemption State Street will continue to hold an amount of capital that is commensurate with its risk.

Liquidation Rights

Upon any voluntary or involuntary liquidation, dissolution or winding up of the affairs of State Street, holders of shares of Series L Preferred Stock are entitled to receive out of assets of State Street legally available for distribution to shareholders, before any distribution of assets is made to holders of our common stock or of any other shares of our stock ranking junior as to such a distribution to the Series L Preferred Stock, a liquidating distribution in the amount of the liquidation preference of $100,000 per share (equivalent to $1,000 per depositary share) plus any declared and unpaid dividends, without accumulation of any undeclared dividends. Distributions will be made only to the extent of State Street’s assets that are available after satisfaction of all liabilities to creditors and subject to the rights of holders of any securities ranking senior to the Series L Preferred Stock (and pro rata as to the Series L Preferred Stock and any other shares of our stock ranking equally as to such distribution).

None, except with respect to authorizing or increasing the authorized amount of senior stock, certain changes in the terms of the Series L Preferred Stock and, upon our non-payment of dividends in an aggregate amount equal to six or more dividend periods, whether or not for consecutive dividend periods, the right, together with holders of any other series of our preferred stock that ranks equally with the Series L Preferred Stock as to payment of dividends and that has equivalent voting rights, voting separately as a single class, to elect two additional members to our board of directors. State Street is a G-SIB and an advanced approaches banking organization under the Federal Reserve’s U.S. Basel III capital rules. would, among other things, eliminate the advanced approaches for monitoring risk-based capital adequacy in favor of a new expanded risk-based approach that includes new standardized methodologies for credit risk, operational risk and credit valuation adjustment (“CVA”) risk components, and would also replace the existing market risk rule with the new fundamental review of the trading book (“FRTB”) framework.

Any estimate of how the 2026 ERBA Proposal may impact us is subject to uncertainty, as actual results may differ from the anticipated results and may be materially affected by and dependent on a range of factors, including business performance, future capital actions, the results of future supervisory stress tests, and interpretations (including changes in interpretations) of, and potential modifications by the U.S. federal banking agencies to, the proposal. The timing and content of any final rules, and the effects of any final rules on State Street, remain uncertain at this stage.

Supplementary Leverage Ratio

Federal Reserve regulations require (1) a G-SIB such as State Street to maintain an SLR, consisting of a minimum requirement of 3% and an additional eSLR buffer of at least 50% of the G-SIB’s Method 1 G-SIB surcharge, in order to avoid any limitations on distributions to shareholders and discretionary bonus payments to certain executives and (2) the insured depository institution subsidiaries of a G-SIB (in our case, State Street Bank) to maintain an SLR consisting of a minimum requirement of 3% and an additional eSLR buffer of at least 50% of the Method 1 G-SIB surcharge of the parent (in our case, State Street Corporation), subject to a cap of 1%, to be considered well-capitalized. The SLR differs from the tier 1 leverage ratio in that “total leverage exposure,” which is the denominator of the SLR, includes both on-balance sheet and certain off-balance sheet exposures.

Under the Federal Reserve’s and the other U.S. federal banking agencies’ final rule on SLR requirements for custodial banking organizations and custody banks, central bank deposits are excluded from a custodial banking organization’s, including State Street’s, total leverage exposure in an amount equal to the lesser of (1) the total amount of funds the custodial banking organization and its consolidated subsidiaries have on deposit at qualifying central banks and (2) the total amount of client funds on deposit at the custodial banking organization that are linked to fiduciary or custodial and safekeeping accounts.

Supervisory Stress Test and Stress Capital Buffer

The Federal Reserve’s SCB rule integrates its annual capital planning and stress testing requirements with certain ongoing regulatory capital requirements and applies to certain bank holding companies, including us. In the standardized approach, the SCB replaces the fixed capital conservation buffer of 2.5% with a buffer based on stress test results. The standardized approach SCB equals the greater of (1) the maximum decline in our CET1 capital ratio under the severely adverse scenario over the supervisory stress test measurement period, plus the ratio of (a) the sum of the dollar amount of our planned common stock dividends for the fourth through seventh quarters of the supervisory stress test projection period to (b) our projected risk-weighted assets for the quarter in which our projected CET1 capital ratio reaches its minimum in the supervisory stress test; and (2) 2.5%. Our current SCB requirement is 2.5% for the period from October 1, 2025 through September 30, 2026. Additionally, in connection with the Federal Reserve’s October 2025 proposed revisions to its supervisory stress testing framework described below, the Federal Reserve determined in February 2026 to maintain the current SCB requirements until 2027. On June 24, 2026, we were notified by the Federal Reserve of the results from the 2026 supervisory stress test, which do not impact our SCB requirements.

G-SIB Surcharge

The eight U.S. bank holding companies deemed to be G-SIBs, including us, are required to calculate their G-SIB surcharge annually according to two methods, and are then bound by the higher of the two surcharges. Under Method 1, the Federal Reserve assesses systemic importance based upon five equally-weighted components: size,

interconnectedness, complexity, cross-jurisdictional activity and substitutability. Under Method 2, the Federal Reserve alters the calculation from Method 1 by factoring in a short-term wholesale funding score in place of substitutability and applying fixed coefficients to each of the five components. Method 2 is the binding methodology for us as of December 31, 2025. Our current G-SIB surcharge, through December 31, 2027, is 1.0%.

As noted above, our G-SIB surcharge must be calculated annually, and year-over-year changes in our Method 1 or Method 2 G-SIB scores may therefore result in changes to our G-SIB surcharge. Based upon calculations using data as of December 31, 2025, our G-SIB surcharge will remain at 1.0% through December 31, 2027. If our Method 1 or Method 2 score changes year-over-year such that we would become subject to a higher surcharge, the higher surcharge would not become effective for two years from the “as of” date (e.g., a higher surcharge calculated as of December 31, 2026 would not become effective until January 1, 2029). If, however, our Method 1 or Method 2 score changes year-over-year such that we would become subject to a lower surcharge, we would be subject to the lower surcharge beginning one full year from the “as of” date (e.g., a lower surcharge calculated as of December 31, 2026 would become effective January 1, 2028).

On March 19, 2026, the Federal Reserve issued a proposed rule to amend the capital surcharge requirement for U.S. G-SIBs (“2026 G-SIB Surcharge Proposal”). The proposal replaces a July 2023 proposal to amend the G-SIB surcharge framework, which was rescinded. The 2026 G-SIB Surcharge Proposal includes various technical revisions to the G-SIB capital surcharge methodology to improve how systemic risk is measured under the framework and would revise the resulting Method 2 G-SIB capital surcharge from 0.5-percentage point increments to 0.1-percentage point increments. The timing and content of any final rule, and the effects of any final rule on us or State Street Bank, remain uncertain at this stage.

TLAC Rule

Among other things, the TLAC Rule requires State Street to comply with minimum requirements for external TLAC and external LTD. Specifically, since January 2023, State Street must hold (1) combined eligible tier 1 regulatory capital and LTD in the amount equal to the greater of 21.5% of total RWA (18.0% minimum plus a 2.5% capital conservation buffer plus a G-SIB surcharge calculated for these purposes under Method 1 of 1.0% plus any applicable counter-cyclical buffer, which is currently 0%) and 8.0% of total leverage exposure (7.5% minimum plus the eSLR buffer, which is currently 0.5%), as defined by the SLR rule; and (2) qualifying external LTD equal to the greater of 7.0% of RWA (6.0% minimum plus a G-SIB surcharge calculated for these purposes under Method 2 of 1.0%) and 3.0% of total leverage exposure (2.5% minimum plus the eSLR buffer of 0.5%), as defined by the SLR rule.

Additionally, certain large banking organizations, such as State Street and State Street Bank, are required to make deductions from regulatory capital for investments in certain unsecured debt instruments issued by bank holding companies and U.S. intermediate holding companies of foreign banks that are subject to the Federal Reserve’s TLAC and LTD requirements, as well as foreign G-SIBs.

Other Requirements

We are also subject to various other capital, liquidity and prudential standards. For example, there is a final rule that, among other things, implements the standardized approach for counterparty credit risk (“SA-CCR”), a methodology for calculating the exposure amount for derivative contracts under the U.S. regulatory capital rules. This final rule also requires us to incorporate the SA-CCR into the calculation of our total leverage exposure for the purpose of calculating our SLR.

In addition to the capital standards described above, the U.S. Basel III rules adopted by the U.S. banking regulators include two quantitative liquidity standards: the Liquidity Coverage Ratio (“LCR”) and the Net Stable Funding Ratio (“NSFR”). The LCR is designed to ensure that large banking organizations hold high-quality

liquid assets sufficient to cover net cash outflows arising from significant stress over 30 calendar days. The NSFR requires large banking organizations to maintain sufficiently stable sources of funding over a one-year time horizon.

We also must comply with the Federal Reserve’s final rules establishing single-counterparty credit limits (“SCCL”) for large banking organizations. U.S. G-SIBs, including State Street, are subject to a limit of 15% of tier 1 capital for aggregate net credit exposures to any “major counterparty” (defined to include other U.S. G-SIBs, foreign G-SIBs and nonbank systemically important financial institutions supervised by the Federal Reserve). We are also subject to a limit of 25% of tier 1 capital for aggregate net credit exposures to any other unaffiliated counterparty.

Maintaining the capital and liquidity levels required by the Basel III final rule, meeting the requirements of the TLAC and SCCL final rules and complying with any future regulatory requirements, such as the 2026 ERBA Proposal and 2026 G-SIB Surcharge Proposal, may reduce our profitability and performance measures or adversely affect the ability of State Street Bank to make distributions or pay dividends to State Street. As a result, our ability to pay dividends on the Series L Preferred Stock could be adversely affected.

Market interest rates may adversely affect the value of the Series L Preferred Stock.

One of the factors that will influence the price of the Series L Preferred Stock will be the dividend yield on the Series L Preferred Stock (as a percentage of the price of the Series L Preferred Stock) relative to market interest rates. An increase in market interest rates may lead prospective purchasers of the Series L Preferred Stock to demand a higher dividend yield, and higher interest rates would likely increase our borrowing costs and potentially decrease funds available for distribution. Accordingly, higher market interest rates could cause the market price of the Series L Preferred Stock to decrease.

Historical U.S. Treasury rates are not an indication of future U.S. Treasury rates.

In the past, U.S. Treasury rates have experienced significant fluctuations. You should note that historical levels, fluctuations and trends of U.S. Treasury rates are not necessarily indicative of future levels. Any historical upward or downward trend in U.S. Treasury rates is not an indication that U.S. Treasury rates are more or less likely to increase or decrease at any time on or after the First Reset Date, and you should not take the historical U.S. Treasury rates as an indication of future U.S. Treasury rates or the five-year treasury rate for any reset period.

The dividend rate on the Series L Preferred Stock will reset on the First Reset Date and each subsequent reset date and any dividend payable after the First Reset Date may be less than the initial fixed rate.

The dividend rate per annum on the Series L Preferred Stock for each reset period will equal the five-year treasury rate as of the most recent reset dividend determination date plus %. Therefore, the dividend rate on and after the First Reset Date could be less than the fixed rate for the initial five-year period, and any dividend payable after a subsequent reset date may be less than a prior fixed rate. We have no control over the factors that may affect U.S. Treasury rates, including geopolitical conditions and economic, financial, political, regulatory, judicial or other events that may impact U.S. Treasury rates.

The dividend rate on the Series L Preferred Stock for a reset period may be calculated using a different base rate if the five-year treasury rate is not available.

Under the terms of the Series L Preferred Stock, the dividend rate on the Series L Preferred Stock for each reset period is based on the five-year treasury rate as of the applicable reset dividend determination date. If the calculation agent is unable to calculate the five-year treasury rate based on screen-based reporting of that base rate, then the calculation agent will use a substitute or successor rate that we or our designee have determined, in

our sole discretion, after consulting any source we or our designee deem to be reasonable, is (i) the industry-accepted substitute for or successor to the five-year treasury rate or (ii) if there is no such industry-accepted substitute for or successor to the five-year treasury rate, a substitute or successor rate that is most comparable to the five-year treasury rate, as set forth in “Description of Series L Preferred Stock—Dividends.” The calculation agent’s (which, as of the issue date, will be State Street Bank) or our or our designee’s interests in making the determinations described above may be adverse to your interests as a holder of the Series L Preferred Stock. The selection of a substitute or successor rate, and any decisions made by the calculation agent, us or our designee in connection with implementing such substitute or successor rate, could result in adverse consequences to the applicable dividend payment on the Series L Preferred Stock, which could adversely affect the return on, value of and market for the Series L Preferred Stock. Further, there is no assurance that the characteristics of any substitute or successor rate will be similar to the five-year treasury rate or that any substitute or successor rate will produce the economic equivalent of the five-year treasury rate.

We or our designee, which may be an affiliate of ours, will have authority to make determinations and decisions that could affect the return on, value of and market for the Series L Preferred Stock.

We and any designee of ours, which may be our affiliate, are expressly authorized to make certain determinations and decisions with respect to technical, administrative and operational matters relating to any use of a substitute or successor rate for the five-year treasury rate. We or our designee will make any such determination or decision in our sole discretion, and any such determination or decision that we make could affect the amount of dividends that accrues on the Series L Preferred Stock on or after the First Reset Date. Furthermore, we have appointed State Street Bank, our principal banking subsidiary, to serve as the calculation agent. The calculation agent will determine the five-year treasury rate for each reset period or the successor rate, if applicable, as set forth in “Description of Series L Preferred Stock—Dividends.” Any exercise of discretion under the terms of the Series L Preferred Stock by us or our designee, which may be our affiliate, could present a conflict of interest. In making the required determinations and decisions, we or our designee, which may be our affiliate, may have economic interests that are adverse to the interests of the holders of the Series L Preferred Stock, and those determinations or decisions could adversely affect the return on, value of and market for the Series L Preferred Stock. All determinations and decisions by us or our designee, which may be our affiliate, under the terms of the Series L Preferred Stock will be conclusive and binding absent manifest error.

The Series L Preferred Stock is equity and is subordinate to our existing and future indebtedness.

The shares of Series L Preferred Stock are equity interests and do not constitute indebtedness. As such, the shares of Series L Preferred Stock, and the related depositary shares, will rank junior to all indebtedness and other non-equity claims on available assets, including in the event of our liquidation. Our existing and future indebtedness may restrict payment of dividends on the Series L Preferred Stock. As of June 30, 2026, our long-term indebtedness, on a consolidated basis, totaled approximately $25.6 billion (which amount does not reflect the issuance by State Street Bank, our wholly owned subsidiary, of $1.25 billion of long-term debt on July 23, 2026), and we may incur additional indebtedness in the future. In addition, the shares of Series L Preferred Stock and the related depositary shares may be fully subordinated to interests held by the U.S. government in the event that we enter into a receivership, insolvency, liquidation or similar proceeding. If we are deferring payments on certain outstanding junior subordinated debt securities, or are in default under the indenture governing such securities, we will be prohibited from paying dividends on or redeeming the Series L Preferred Stock.

The terms of our outstanding junior subordinated debentures prohibit us from declaring or paying any dividends on, or redeeming, purchasing, acquiring or making a liquidation payment with respect to, the Series L Preferred Stock and all other outstanding parity stock under certain circumstances. These circumstances include if an event of default has occurred with respect to such junior subordinated debt securities which we have not taken reasonable steps to cure, or if we have given notice of our election to defer interest payments on such junior subordinated debt securities and we have not rescinded such notice or such deferral period is continuing. We may be able to redeem the Series L Preferred Stock prior to September 15, 2031.

By its terms, the Series L Preferred Stock may be redeemed by us prior to September 15, 2031, upon the occurrence of certain changes relating to the regulatory capital treatment of the Series L Preferred Stock. In particular, upon our determination in good faith that an event has occurred that would constitute a “regulatory capital treatment event,” we may, at our option, subject to the approval of the Federal Reserve, redeem all (but not less than all) of the shares of Series L Preferred Stock. Although the terms of the Series L Preferred Stock have been established to satisfy the criteria for additional tier 1 capital instruments consistent with the Basel III final rule, it is possible that the Series L Preferred Stock may not satisfy the criteria set forth in future rulemaking or interpretations. The five-year treasury rate will be the average of the yields on actively traded U.S. treasury securities adjusted to constant maturity, for five-year maturities, appearing under “Treasury Constant Maturities”, for the five business days immediately preceding the reset dividend determination date for that reset period available on or by reference to the most recently published statistical release designated H.15 Daily Update or any successor publication which is published by the Federal Reserve Board as of 5:00 p.m. (Eastern Time) as of any date of determination, as determined by the calculation agent in its sole discretion.

If the calculation agent, we or our designee are unable to determine a substitute or successor rate in accordance with the foregoing, then the five-year treasury rate will be the same interest rate determined for the prior reset dividend determination date or, if this sentence is applicable with respect to the first reset dividend determination date, %.

Absent manifest error, any determination by the calculation agent, us or our designee of the dividend rate for a dividend period for the Series L Preferred Stock will be binding and conclusive on you, the transfer agent and us. The determination or calculation by the calculation agent, us or our designee of any dividend rate, dividends for any dividend period and any technical, administrative or operational changes that the calculation agent, we, or our designee determine for calculating any substitute or successor rate, will be maintained on file at our principal offices and will be made available to any holder of the Series L Preferred Stock upon request.

We have appointed State Street Bank to serve as calculation agent. We may appoint a different institution to serve as calculation agent from time to time without the consent of holders of the Series L Preferred Stock and without notice.

Dividends on shares of Series L Preferred Stock will not be cumulative and will not be mandatory. Redemption

The Series L Preferred Stock is not subject to any mandatory redemption, sinking fund or other similar provision. Except as described below, the Series L Preferred Stock is not redeemable prior to September 15, 2031. On that date, and on any dividend payment date thereafter, the Series L Preferred Stock will be redeemable at our option, in whole or in part, at a redemption price equal to $100,000 per share (equivalent to $1,000 per depositary share), plus any declared and unpaid dividends, without accumulation of any undeclared dividends. Holders of Series L Preferred Stock will have no right to require the redemption or repurchase of the Series L Preferred Stock. Dividends will cease to accrue after the redemption date. Under the Federal Reserve’s risk-based capital regulations and guidelines applicable to bank holding companies, any redemption of the Series L Preferred Stock is subject to prior approval of the Federal Reserve.

Notwithstanding the foregoing, prior to September 15, 2031, within 90 days of our good faith determination that an event has occurred that would constitute a regulatory capital treatment event (as defined below), we may, at our option, subject to the approval of the Federal Reserve, provide notice of our intent to redeem in accordance with the procedures described below, and subsequently redeem, all (but not less than all) of the shares of Series L Preferred Stock at the time outstanding at a redemption price equal to $100,000 per share (equivalent to $1,000 per depositary share), plus any declared and unpaid dividends, without accumulation of any undeclared dividends.

If shares of the Series L Preferred Stock are to be redeemed, the notice of redemption shall be given to the holders of record of the Series L Preferred Stock to be redeemed, either by first class mail, postage prepaid, addressed to the holders of record of such shares to be redeemed at their respective last addresses appearing on our stock register or transmitted by such other method approved by the depositary, in its reasonable discretion, not less than 5 days nor more than 60 days prior to the date fixed for redemption thereof (provided that, if the depositary shares representing the Series L Preferred Stock are held in book-entry form through The Depository Trust Company (“DTC”) (or a successor securities depositary), we may give such notice in any manner permitted by DTC (or such successor)). Any such notice shall be conclusively presumed to have been duly given, whether or not the holder receives such notice, but failure duly to provide such notice, or any defect in such notice or in the provision thereof, to any holder of shares of Series L Preferred Stock designated for redemption shall not affect the validity of the proceedings for the redemption of any other shares of Series L Preferred Stock. Each notice of redemption will include a statement setting forth: (1) the redemption date; (2) the number of shares of Series L Preferred Stock to be redeemed and, if less than all the shares held by such holder are to be redeemed, the number of such shares to be redeemed from such holder (or the method of determining such number); (3) the redemption price; (4) the place or places where the certificates evidencing shares of Series L Preferred Stock are to be surrendered for payment of the redemption price; and (5) that dividend rights with respect to the shares to be redeemed will cease on the redemption date. In case of any redemption of only part of the shares of the Series L Preferred Stock at the time outstanding, the shares to be redeemed shall be selected either pro rata or by lot or in such other manner as our board of directors or any duly authorized committee of our board of directors determines to be equitable and permitted by DTC.

Under the Federal Reserve’s current risk-based capital regulations and guidelines applicable to bank holding companies, any redemption of the Series L Preferred Stock is subject to prior approval of the Federal Reserve. In addition, prior to exercising the option to redeem the Series L Preferred Stock, or immediately thereafter, State Street will be required to either replace the shares to be redeemed with an equivalent amount of financial instruments that meet the Federal Reserve’s criteria for CET1 capital or additional tier 1 capital, or demonstrate to the Federal Reserve that following such redemption State Street will continue to hold an amount of capital that is commensurate with its risk. Repurchase

Subject to the limitations imposed by the certificate of designation of the Series L Preferred Stock, we may purchase Series L Preferred Stock from time to time to such extent, in such manner, and upon such terms as our board of directors or any duly authorized committee of our board of directors may determine; provided, however, that we shall not use any of our funds for any such purchase when there are reasonable grounds to believe that we are, or by such purchase would be, rendered insolvent. Any repurchase of the Series L Preferred Stock is subject to prior approval of the Federal Reserve.

Voting Rights

Except as provided below, the holders of the Series L Preferred Stock will have no voting rights.

Whenever dividends on any shares of the Series L Preferred Stock, or any other class or series of preferred stock that ranks on parity with the Series L Preferred Stock as to payment of dividends, and upon which equivalent voting rights have been conferred and are exercisable, have not been paid, or declared and set aside for payment, in an aggregate amount equal to six or more dividend periods, whether or not for consecutive dividend periods (a “Nonpayment”), the holders of the Series L Preferred Stock, together with holders of any other series of our preferred stock that ranks on parity with the Series L Preferred Stock as to payment of dividends with equivalent voting rights, will be entitled to vote separately as a single class for the election of a total of two additional members to our board of directors (the “Preferred Directors”), provided that the election of any such directors shall not cause us to violate the corporate governance requirement of the NYSE (or any other exchange on which our securities may be listed) that listed companies must have a majority of independent directors, and provided further that our board of directors shall at no time include more than two Preferred Directors.

In that event, the number of directors on our board of directors shall automatically increase by two and, at the request of any holder of Series L Preferred Stock, a special meeting of the holders of Series L Preferred Stock and any other class or series of preferred stock that ranks on parity with Series L Preferred Stock as to payment of dividends with equivalent voting rights shall be called for the election of the two additional directors to our board of directors (unless such request is received less than 90 days before the date fixed for the next annual or special meeting of the shareholders, in which event such election shall be held at such next annual or special meeting of shareholders), followed by another such election at each subsequent annual meeting. These voting rights will continue until full dividends, including any declared and unpaid dividends, have been paid on the shares of the Series L Preferred Stock and any other class or series of preferred stock that ranks on parity with the Series L Preferred Stock as to payment of dividends for at least four consecutive dividend periods following the Nonpayment.

If and when full dividends have been paid for at least four consecutive dividend periods following a Nonpayment on the Series L Preferred Stock and any other class or series of preferred stock that ranks on parity with the Series L Preferred Stock as to payment of dividends, the holders of the Series L Preferred Stock shall be divested of the foregoing voting rights (subject to revesting in the event of any subsequent Nonpayment) and the term of office of each Preferred Director so elected shall terminate and the number of directors on our board of directors shall automatically decrease by two. Any Preferred Director may be removed at any time without cause by the holders of record of a majority of the outstanding shares of the Series L Preferred Stock (together with holders of any other series of our preferred stock that ranks on parity with the Series L Preferred Stock as to payment of dividends with equivalent voting rights, whether or not the holders of such preferred stock would be entitled to vote for the election of directors if such default in dividends did not exist) when they have the voting rights described above. the affirmative vote or consent of the holders of at least two-thirds of all of the shares of the Series L Preferred Stock at the time outstanding, voting separately as a single class, shall be required to issue, authorize or increase the authorized amount of, or to issue or authorize any obligation or security convertible into or evidencing the right to purchase, any class or series of stock ranking senior to the Series L Preferred Stock and all other parity stock with respect to payment of dividends or the distribution of assets upon liquidation, dissolution or winding up of State Street.

The foregoing voting provisions will also not apply if, at or prior to the time when the act with respect to which such vote would otherwise be required, all outstanding shares of Series L Preferred Stock shall have been redeemed or called for redemption upon proper notice and sufficient funds shall have been set aside by us for the benefit of the holders of the Series L Preferred Stock to effect such redemption.

The holders of Series L Preferred Stock will not be entitled to vote as a separate class or series or voting group with respect to any plan of merger or share exchange solely as a result of Section 11.04(6) of the Massachusetts Business Corporation Act (the “MBCA”). Section 11.04(6) of the MBCA provides that, unless a corporation expressly provides otherwise in its articles of organization, shares of capital stock are in some circumstances entitled to vote as a separate class or series or voting group on a plan of merger or share exchange, if the plan of merger or share exchange contains a provision that, if contained in a proposed amendment to the articles of organization of a corporation, would entitle such class or series to vote as a separate voting group on the proposed amendment under Section 10.04 of the MBCA. Section 10.04 of the MBCA entitles the holders of capital stock of a corporation to vote as a separate class or series under certain circumstances. The certificate of designation creating the Series L Preferred Stock, which will be part of our articles of organization, will expressly provide that Section 11.04(6) of the MBCA (and any similar successor provision of the MBCA) will be inapplicable to the Series L Preferred Stock.

When the depositary receives notice of any meeting at which the holders of the Series L Preferred Stock are entitled to vote, the depositary will mail (or otherwise transmit by an authorized method) the information contained in the notice to the record holders of the depositary shares relating to the Series L Preferred Stock. Each record holder of the depositary shares on the record date, which will be the same date as the record date for the Series L Preferred Stock, may instruct the depositary to vote the amount of the Series L Preferred Stock represented by the holder’s depositary shares. To the extent possible, the depositary will vote the amount of the Series L Preferred Stock represented by depositary shares in accordance with the instructions it receives. We will agree to take all reasonable actions that may be deemed necessary to enable the depositary to vote as instructed. If the depositary does not receive specific instructions from the holders of any depositary shares representing the Series L Preferred Stock, it will vote all depositary shares of that series held by it proportionately with instructions received.

Listing

We do not intend to apply for the depositary shares to be listed on any national securities exchange or to arrange for quotation with respect to the depositary shares on any automated dealer quotation system. We do not expect that there will be any separate public trading market for the shares of the Series L Preferred Stock except as represented by the depositary shares.

Form of Series L Preferred Stock and Depositary Shares

U.S. Holders

Distributions. Distributions with respect to the depositary shares will be taxable as dividend income when paid to the extent of our current and accumulated earnings and profits as determined for U.S. federal income tax purposes. To the extent that the amount of a distribution with respect to the depositary shares exceeds our current and accumulated earnings and profits, such distribution will be treated first as a tax-free return of capital to the

A U.S. holder should consult his, her or its own tax advisor regarding the availability of the preferential tax rates applicable to qualified dividends and the dividends-received deduction in light of his, her or its particular circumstances.

Dispositions. A U.S. holder will generally recognize capital gain (or capital loss) on a taxable sale or exchange of the depositary shares equal to the amount by which the amount realized upon the sale or exchange exceeds (or is less than) such U.S. holder’s adjusted tax basis in the shares sold or exchanged. Such capital gain or loss will be long-term capital gain or loss if the U.S. holder’s holding period for the shares sold or exchanged is more than one year. Long-term capital gains of non-corporate taxpayers are generally taxed at a tax rate (under current law, a maximum rate of 20%) lower than the tax rate applicable to ordinary income. The deductibility of net capital losses is subject to limitations.

Redemptions. If we redeem your depositary shares, in certain circumstances you will be treated as if you had sold or exchanged your depositary shares in a taxable transaction. Such circumstances include if the redemption:

results in a complete termination of your stock interest in us; or

•

is not essentially equivalent to a dividend with respect to you.

In determining whether any of these circumstances has been met, shares of stock considered to be owned by you by reason of certain constructive ownership rules set forth in Section 318 of the Code, as well as shares actually owned by you, must be taken into account. There will be a complete termination of a U.S. holder’s interest if either (1) all of the shares of our stock actually and constructively owned by the holder are redeemed or (2) all of the shares of our stock actually owned by the holder are redeemed and the holder is eligible to waive, and effectively waives in accordance with specific rules, the attribution of stock owned by certain family members and the holder does not constructively own any other stock. The redemption of a holder’s depositary shares will not be essentially equivalent to a dividend if the redemption results in a “meaningful reduction” of the holder’s proportionate interest in us. Whether the redemption will result in a meaningful reduction in a holder’s proportionate interest in us will depend on the particular facts and circumstances. The Internal Revenue Service (the “IRS”) has indicated in published rulings that even a small reduction in the proportionate interest of a small minority shareholder in a publicly held corporation who exercises no control over corporate affairs may constitute such a “meaningful reduction.”

If we redeem your depositary shares and such redemption is treated as if you had sold or exchanged your depositary shares in a taxable transaction, you generally would recognize taxable gain or loss in the manner described under “Dispositions,” above.

If we redeem your depositary shares and such redemption is not treated as if you had sold or exchanged your depositary shares in a taxable transaction, you generally would be taxed on the cash and the fair market value of the property you receive in the redemption in the manner described under “Distributions,” above.

You should consult your tax advisor to determine if a redemption of the depositary shares is treated as a distribution that is taxable as a dividend, and if so, the allocation of your basis in the redeemed and remaining depositary shares.

Information reporting and backup withholding. A U.S. holder may be subject to backup withholding with respect to the payment of dividends on the depositary shares and to certain payments of proceeds on the sale or redemption of the depositary shares unless such U.S. holder provides proof of an applicable exemption or a correct taxpayer identification number, and otherwise complies with applicable requirements of the backup withholding rules.

Any amount withheld under the backup withholding rules from a payment to a U.S. holder is allowable as a credit against such holder’s U.S. federal income tax, which may entitle the U.S. holder to a refund, provided that the U.S. holder provides the required information to the IRS in a timely manner.

Information returns will generally be filed with the IRS in connection with the payment of dividends on the depositary shares to certain U.S. holders and certain payments or proceeds to certain U.S. holders on the sale or redemption of the depositary shares.

Medicare Tax. A U.S. holder that is an individual or estate, or a trust that does not fall into a special class of trusts that is exempt from such tax, will be subject to a 3.8% Medicare tax on the lesser of (1) the U.S. holder’s “net investment income” for the taxable year (or, in the case of an estate or trust, the “undistributed net investment income”) and (2) the excess of the U.S. holder’s modified adjusted gross income for the taxable year over a certain threshold amount (which in the case of individuals will be between $125,000 and $250,000, depending on the individual’s circumstances). A holder’s net investment income will generally include the holder’s dividend income and net gains from the disposition of depositary shares, unless such dividend income or net gains are derived in the ordinary course of the conduct of a trade or business (other than a trade or business that is a passive activity with respect to the holder or consists of certain trading activities). Non-U.S. Holders

Distributions with respect to the depositary shares generally will constitute dividends for U.S. federal income tax purposes to the extent paid from our current or accumulated earnings and profits, as described above under “U.S. Holders—Distributions.” Generally, dividends paid to a non-U.S. holder with respect to the depositary shares will be subject to withholding of U.S. federal income tax at a 30% rate, or such lower rate as may be specified by an applicable tax treaty (provided the non-U.S. holder furnishes the payor with a properly completed IRS Form W-8BEN or W-8BEN-E (or other applicable form) certifying that such holder is eligible for treaty benefits), unless the dividends are effectively connected with a trade or business carried on by the non-U.S. holder within the United States and, if an applicable tax treaty so requires, are attributable to a U.S. permanent establishment or fixed base maintained by the non-U.S. holder (and the non-U.S. holder provides the payor with a properly completed IRS Form W-8ECI). Dividends that are effectively connected with such trade or business (and, if an applicable tax treaty so requires, are attributable to a U.S. permanent establishment or fixed base maintained by the non-U.S. holder) will generally be subject to U.S. federal income tax on a net income basis at the same U.S. federal income tax rates applicable to United States persons (as defined in the Code) and, in the case of a non-U.S. holder which is a corporation, may be subject to an additional “branch profits tax” at a 30% rate, or such lower rate as may be specified by an applicable tax treaty.

A non-U.S. holder eligible for a reduced rate of U.S. withholding tax pursuant to an applicable tax treaty may obtain a refund of any excess amounts withheld by filing an appropriate claim for refund with the IRS.

Dispositions and Redemptions. A non-U.S. holder generally will not be subject to U.S. federal income or withholding tax on gain realized on the sale, exchange or redemption (if such redemption is not treated as a dividend, as described above under “U.S. Holders—Redemptions”) of the depositary shares unless:

the gain is effectively connected with a U.S. trade or business of the non-U.S. holder (and if an applicable tax treaty so requires, the gain is attributable to a U.S. permanent establishment or fixed base maintained by such non-U.S. holder); in these cases, the non-U.S. holder will be taxed on a net income basis at the same U.S. federal income tax rates applicable to United States persons (as defined in the Code), and if the non-U.S. holder is a foreign corporation, an additional branch profits tax at a 30% rate, or such lower rate as may be specified by an applicable income tax treaty, may also apply;

in the case of a nonresident alien individual, such non-U.S. holder is present in the United States for 183 or more days in the taxable year of the sale or disposition (and certain other conditions are met), in which case the non-U.S. holder will be subject to a 30% tax (or such lower rate as may be specified by an applicable income tax treaty) on the net gain derived from the disposition, which may be offset by U.S.-source capital losses of the non-U.S. holder, if any; and

we are, or have been at any time during the five-year period preceding such disposition (or the non-U.S. holder’s holding period, if shorter), a “U.S. real property holding corporation” for U.S. federal income tax purposes. If we are determined to be a U.S. real property holding corporation, then the non-U.S. holder generally will be taxed on its net gain derived from the disposition at the U.S. federal income tax rates applicable to United States persons (as defined in the Code). Generally, a corporation is a “U.S. real property holding corporation” if the fair market value of its “U.S. real property interests” equals or exceeds 50% of the sum of the fair market value of its worldwide real property interests plus its other assets used or held for use in a trade or business. Although there can be no assurance, we believe that we are not currently, and we do not anticipate becoming, a “U.S. real property holding corporation” for U.S. federal income tax purposes.

Information reporting and backup withholding. We must report annually to the IRS and to each non-U.S. holder the gross amount of the distributions on our depositary shares and the tax withheld with respect thereto, if any. These information reporting requirements apply regardless of whether withholding was reduced or eliminated by an applicable tax treaty, or withholding was otherwise not required. Copies of the information returns reporting such distributions and withholding may also be made available by the IRS under the provisions of an applicable tax treaty or agreement to the taxing authorities in the country in which the non-U.S. holder resides. U.S. backup withholding will generally apply to payments of dividends to a non-U.S. holder unless such non-U.S. holder furnishes to the payor an IRS Form W-8BEN or W-8BEN-E (or other applicable form) certifying as to its non-U.S. status, or such non-U.S. holder otherwise establishes an exemption. Dividends paid to non-U.S. holders subject to withholding of U.S. federal income tax, as described above under the heading “Distributions”, will generally be exempt from U.S. backup withholding.

Payment by a U.S. office of a broker of the proceeds of a disposition of the depositary shares is subject to both backup withholding and information reporting unless the non-U.S. holder, or beneficial owner thereof, as applicable, certifies that the holder is a non-U.S. holder on IRS Form W-8BEN or W-8BEN-E (or other applicable form), or otherwise establishes an exemption. Subject to certain limited exceptions, backup withholding and information reporting generally will not apply to the payment of proceeds from the disposition of the depositary shares if such sale is effected outside the United States through a foreign office of a foreign broker.

Backup withholding is not an additional tax. In the case of any event of default or a covenant breach, the trustee may in its discretion proceed to protect and enforce its rights and the rights of the holders of such debt securities by such appropriate judicial proceedings as the trustee shall deem most effectual to protect and enforce any such rights, whether for the specific enforcement of any such covenant or agreement or in aid of the exercise of any power granted in the indenture, or to enforce any other proper remedy. The holders of a majority in principal amount of the outstanding debt securities of a series may direct the time, method and place of conducting any proceeding for any remedy available to the applicable trustee or exercising any trust or power conferred on the trustee with respect to debt securities of that series, provided that any such direction is not in conflict with any rule of law or the indenture and the trustee may take any other action deemed proper by the trustee that is not inconsistent with such direction. Subject to the provisions of the indenture relating to the duties of the trustee, before proceeding to exercise any right or power under the indenture at the direction of the holders, the trustee is entitled to receive from those holders reasonable security or indemnity against the costs, expenses and liabilities which might be incurred by it in complying with any direction.

No holder of any senior debt security of any series will have the right to institute a proceeding with respect to the indenture or for any remedy thereunder, unless:

that holder previously has given to the trustee written notice of a continuing event of default or a covenant breach with respect to debt securities of that series;

•

the holders of not less than 25% in aggregate principal amount of the outstanding debt securities of that series also shall have offered the trustee reasonable indemnity and made written request to the trustee to institute such proceeding as trustee;

•

the trustee shall not have received from the holders of a majority in principal amount of the outstanding debt securities of that series a direction inconsistent with such request; and

•

the trustee shall have failed to institute such proceeding within 60 days.

However, any holder of a senior debt security has the absolute right to institute suit for any defaulted payment after the due dates for payment under that debt security.

We are required to furnish to the senior trustee annually a statement as to the performance of our obligations under the senior indenture and as to any default in such performance. For the purpose of this paragraph, the term “default” means any event which is, or after notice or lapse of time or both would become, an event of default or a covenant breach in respect of the relevant securities.

Modification and Waiver

Each indenture may be modified and amended by us and the applicable trustee with the consent of holders of at least a majority in principal amount of each series of debt securities affected. However, without the consent of each holder of any debt security affected, we may not amend or modify any indenture to:

Limitation Upon Disposition of Voting Stock of State Street Bank

The senior indenture prohibits us and any subsidiary of ours that owns voting stock in State Street Bank, so long as any of the senior debt securities are outstanding, from selling or otherwise disposing of, or granting a security interest in or permitting the issuance of, any voting stock or any security convertible or exercisable into voting stock of State Street Bank or any of our subsidiaries that owns voting stock, or any security convertible or exercisable into voting stock, of State Street Bank, except that this restriction does not apply to dispositions made by us or any subsidiary or issuances if after giving effect to such disposition or issuance and any potential dilution, we (directly or indirectly through one or more subsidiaries) will own in the aggregate at least 80% of the voting stock of State Street Bank free and clear of any security interest.

In addition, the restriction does not apply to:

mergers between us and State Street Bank, or any other corporations, subject to the merger limitations in the senior indenture; or

•

mergers between State Street Bank and any other U.S. corporation so long as (i) we (directly or indirectly through one or more subsidiaries) will own in the aggregate at least 80% of the voting stock of the resulting entity and (ii) no event of default (and, with respect to any series of senior debt securities issued under the senior indenture, no covenant breach) and no event that, after notice or lapse of time or both, would become an event of default (or, with respect to any series of debt securities issued under the senior indenture, a covenant breach) shall have happened and be continuing under the senior indenture.

The subordinated indenture does not contain a similar restriction on our ability to engage in or permit such transactions to occur.

Defeasance

If the prospectus supplement relating to the debt securities of a series so specifies, we may, at our option and at any time, elect to have all of the obligations discharged with respect to the outstanding debt securities of a particular series, except for:

To exercise either a legal defeasance or a covenant defeasance, certain conditions must be met, including, among other things:

we shall have deposited irrevocably with the trustee as trust funds in trust, in each case, in an amount, in U.S. dollars or U.S. government obligations, which through the payment of interest, principal and premium, if any, in respect thereof in accordance with their terms, will provide an amount sufficient to pay the entire amount of the debt securities;

•

an opinion of independent counsel shall have been delivered to the trustee to the effect that the holders of the debt securities of such series will have no federal income tax consequences as a result of such deposit and termination, which opinion in the case of legal defeasance shall also state that we have received a ruling from the Internal Revenue Service or there has been a change in federal income tax law since the date of the applicable indenture;

•

with respect to defeasance under the senior indenture, no event of default or covenant breach shall exist or be caused by the defeasance and with respect to defeasance under the subordinated indenture, no default shall exist or be caused by the defeasance; and

•

the defeasance shall not cause a default or breach under any of our other agreements or instruments.

Subordinated Debt Securities

Other than the terms of the subordinated indenture and the subordinated debt securities relating to subordination and events of default, absence of restrictive covenants applicable with respect to subordinated debt securities, and as otherwise described in the prospectus supplement relating to a particular series of subordinated debt securities, the terms of the subordinated indenture and the subordinated debt securities are identical in all material respects to the terms of the senior indenture and senior debt securities.

The subordinated debt securities will be our direct, unsecured obligations. Unless otherwise specified in the applicable prospectus supplement, the subordinated debt securities will rank equally with all of our outstanding subordinated indebtedness that is not specifically stated to be junior to the subordinated debt securities. Subordination

The subordinated debt securities will be subordinated in right of payment to all senior indebtedness (as defined below). In certain circumstances relating to our liquidation, dissolution, winding up, reorganization, insolvency or similar proceedings, the holders of all senior indebtedness will first be entitled to receive payment in full before the holders of the subordinated debt securities will be entitled to receive any payment on the subordinated debt securities. In addition, holders of subordinated debt securities may be fully subordinated to interests held by the U.S. government in the event that we enter into a receivership, insolvency, liquidation, or similar proceeding.

Events of Default under the Subordinated Indenture

Unless otherwise indicated in the applicable prospectus supplement, an event of default with respect to subordinated debt securities under the subordinated indenture is limited to certain events involving the bankruptcy, insolvency or reorganization of State Street Corporation.

Defaults under the Subordinated Indenture

For the avoidance of doubt, the bankruptcy, insolvency or reorganization of State Street Bank, whether in a voluntary or involuntary proceeding, will not constitute a default or event of default under the subordinated indenture although the bankruptcy, insolvency or reorganization of State Street Bank will constitute a default (but not an event of default) with respect to the Subordinated Notes.

Remedies if an Event of Default or Default under the Subordinated Indenture Occurs

The subordinated debt securities will automatically be accelerated only upon the occurrence of an “event of default” resulting from a voluntary bankruptcy, insolvency or reorganization of State Street Corporation or the consent by State Street Corporation to relief under, or the taking of certain actions by State Street with respect to, certain insolvency laws. If an event of default resulting from the involuntary bankruptcy, insolvency or reorganization of State Street Corporation occurs and is continuing, the subordinated trustee or the holders of at least 25% in aggregate principal amount of the outstanding securities of that series may declare the principal amount of all the securities of that series, or any lesser amount provided for in the debt securities of that series, to be due and payable or deliverable immediately. There will be no right of acceleration of the payment of principal upon any other default, including payment defaults under the subordinated indenture or in the performance of any covenant or agreement in the subordinated indenture or subordinated securities.

In the case of a default (which, for clarity, is different from an “event of default” for the subordinated debt securities) in the payment of interest or principal, or premium, if any, State Street will be required, upon the demand of the subordinated trustee, to pay to it, for the benefit of the holders of the subordinated debt securities, the whole amount then due and payable on such subordinated debt securities for principal, and premium, if any,

and interest and, to the extent that payment of such interest shall be legally enforceable, interest on any overdue principal, and premium, if any, and on any overdue interest, at the rate or rates prescribed in such subordinated debt securities. If we fail to pay such amounts, upon demand, the subordinated trustee may institute a judicial proceeding for the collection of the amounts due and unpaid, to collect such amounts payable. In the case of any default with respect to the subordinated debt securities, the subordinated trustee may in its discretion proceed to protect and enforce its rights and the rights of the holders of the subordinated debt securities by such appropriate judicial proceedings as the trustee shall deem most effectual to protect and enforce any such rights, whether for the specific enforcement of any such covenant or in aid of the exercise of any power granted in the subordinated indenture, or to enforce any other proper remedy.

In the event of the acceleration of the maturity of any subordinated debt securities, all senior indebtedness will have to be repaid before any payment can be made on the subordinated debt securities.

In addition, during the continuance of any default in the payment of principal, premium or interest on senior indebtedness, no payment may be made on the subordinated debt securities if notice of such default has been given and certain judicial proceedings commenced or if judicial proceedings are pending in respect of such default.

By reason of this subordination in favor of the holders of senior indebtedness, in the event of an insolvency, our creditors who are not holders of senior indebtedness or the subordinated debt securities may recover proportionately less than holders of senior indebtedness and may recover proportionately more than holders of the subordinated debt securities.

Redemption

The factors the Federal Reserve currently considers in evaluating a proposed redemption by a bank holding company include, among other things, the capital plans and stress tests submitted by the bank holding company, the bank holding company’s ability to meet and exceed minimum regulatory capital ratios under stressed scenarios, its expected sources and uses of capital over the planning horizon (generally a period of two years) under baseline and stressed scenarios, and any potential impact of changes to its business plan and activities on its capital adequacy and liquidity, although the Federal Reserve may change these factors at any time.

Voting Rights

Unless otherwise described in the applicable prospectus supplement, holders of the preferred stock will have no voting rights except as set forth below or as otherwise required by law or in our articles of organization.

outstanding (unless the request for a special meeting is received less than 90 days before the date fixed for the next annual or special meeting of shareholders, in which event the election shall be held only at such next annual or special meeting of shareholders), and at each subsequent annual meeting of shareholders. When dividends have been paid in full on series G preferred stock, series I preferred stock, series J preferred stock and series K preferred stock, and any non-cumulative voting parity securities for dividend periods, whether or not consecutive, equivalent to at least one year after a nonpayment event and all dividends on any cumulative voting parity securities have been paid in full, then the right of the holders of the series G preferred stock, series I preferred stock, series J preferred stock and series K preferred stock to elect the preferred stock directors shall cease (subject to revesting of such voting rights in the case of any future nonpayment event). Upon the termination of these rights of the holders of preferred stock and voting parity securities to vote for preferred stock directors, the terms of office of the preferred stock directors shall forthwith terminate and the number of authorized directors of State Street will be reduced by the number of preferred stock directors that the holders of preferred stock and voting parity securities had been entitled to elect.

Under regulations adopted by the Federal Reserve, if the holders of one or more series of preferred stock are or become entitled to vote for or select our directors or to vote on or direct the conduct of our operations or other significant policies of ours, such series will be deemed a class of voting securities. In such a case, a company that directly or indirectly or acting through one or more other persons owns, controls, or has power to vote 25% or more of the series, that controls in any manner the election of a majority of our directors, or that otherwise exercises a “controlling influence” over us, will be subject to regulation as a bank holding company under the Bank Holding Company Act of 1956, as amended (the “BHC Act”). Voting the Preferred Stock

Restrictions on Ownership

The BHC Act requires any “bank holding company,” as defined in the BHC Act, to obtain the approval of the Federal Reserve prior to acquiring direct or indirect ownership or control of 5% or more of our common stock. Any person, other than a bank holding company, is required to obtain prior approval of the Federal Reserve to acquire 10% or more of our common stock under the CIBC Act. Any company that directly or indirectly or acting through one or more other persons owns, controls, or has power to vote 25% or more of our common stock, that controls in any manner the election of a majority of our directors, or that otherwise exercises a “controlling influence” over us, is subject to regulation as a bank holding company under the BHC Act. Chapter 167A of the General Laws of Massachusetts requires any “bank holding company,” as defined in Chapter 167A, to obtain prior approval of the board of bank incorporation before (i) acquiring 5% or more of our common stock, (ii) acquiring all or substantially all of our assets or (iii) merging or consolidating with us.

Provisions of Our Articles of Organization and By-Laws And Massachusetts Law That May Have Anti-Takeover Effects

Certain provisions of our by-laws are designed to make it more difficult for an outsider who does not have the support of our board of directors to accomplish a takeover. These provisions: (1) provide that only our board of directors or the Chairman of the board of directors, or one or more shareholders holding at least 25 percent of all the votes entitled to be cast on any issue to be considered at a proposed special meeting, have the power to call a special meeting of shareholders; (2) specify that action by shareholders without a meeting requires the written approval of all shareholders entitled to vote on the action; and (3) provide that nominations and matters for shareholder action may only be made by advance written notice. While the foregoing provisions will not necessarily prevent take-over attempts, they may discourage an attempt to obtain control of us in a transaction not approved by our board of directors by making it more difficult for a third party to obtain control in a short time and impose its will on our remaining shareholders.

Our articles of organization provide that none of our directors will be liable to us or our shareholders for monetary damages for any breach of fiduciary duty, except to the extent such exculpation from liability is not permitted under Massachusetts law. This provision does not prevent shareholders from obtaining injunctive or other equitable relief against directors nor does it shield directors from liability under federal or state securities laws.

We are covered by the provisions of Chapter 110F of the Massachusetts General Laws, the so-called Business Combination Statute. Under Chapter 110F, a Massachusetts corporation with more than 200 shareholders may not engage in a “business combination” with an “interested stockholder” for a period of three years after the date of the transaction in which the person becomes an interested stockholder, unless (i) the interested stockholder obtains the approval of the board of directors prior to becoming an interested stockholder, (ii) the interested stockholder acquires 90% of the outstanding voting stock of the corporation (excluding shares held by certain affiliates of the corporation) at the time it becomes an interested stockholder or (iii) the business combination is approved by both the board of directors and the holders of two-thirds of the outstanding voting stock of the corporation (excluding shares held by the interested stockholder). An “interested stockholder” is a person who, together with affiliates and associates, owns (or at any time within the prior three years did own) 5% or more of the outstanding voting stock of the corporation. A “business combination” includes a merger, a stock or asset sale, and other transactions resulting in a financial benefit to the interested stockholder.

Our by-laws provide that the provisions of Chapter 110D of the Massachusetts General Laws, the so-called “Control Share Statute,” do not apply to us. However, we may in the future become subject to the statute if our board of directors votes to amend our by-laws so as to make them applicable to us. In general, if this statute were applicable it would provide that any person or entity that acquired 20% or more of our outstanding voting stock could not vote such stock unless our other shareholders were to so authorize such voting.

Section 8.06(b) of the Massachusetts Business Corporation Act, or the MBCA, provides that unless a corporation decides otherwise, the terms of directors of a public Massachusetts corporation shall be staggered by dividing the directors into three groups, as nearly equal in number as possible, with only one group of directors being elected each year. Sections 8.06(d) and (e) of the MBCA provide that when directors are so classified, (i) shareholders may remove directors only for cause, (ii) the number of directors shall be fixed only by the vote of the board of directors, (iii) vacancies and newly created directorships shall be filled solely by the affirmative vote of a majority of the remaining directors, and (iv) a decrease in the number of directors will not shorten the term of any incumbent director. Our board of directors opted out of this staggered board of directors requirement, and all of our directors currently serve for one-year terms and are elected annually. Under Section 8.06(c)(2) of the MBCA, our board of directors may opt into the staggered board of directors requirements of Section 8.06(b) and the application of Sections 8.06(d) and (e). If our board of directors opts into this structure, these provisions are likely to increase the time required for our shareholders to change the composition of the board of directors. For example, in general, at least two annual meetings would be necessary for shareholders to effect a change in a

majority of the members of our board of directors. The provision for a classified board could prevent a party who acquires control of a large portion of our outstanding common stock from obtaining control of our board of directors until our second annual shareholders meeting following the date the acquirer obtains the stock interest. The classified board provision could have the effect of discouraging a potential acquirer from making a tender offer or otherwise attempting to obtain control of us and could increase the likelihood that incumbent directors will retain their positions.
