Nabors Industries Ltd.

The Selling Shareholder (as defined below) identified in this prospectus supplement is offering up to an aggregate of 391,944 shares of common shares, par value $0.05 per share (our “common shares”), of Nabors Industries Ltd., a Bermuda exempted company (the “Company” or “Nabors”). The Company is not selling any common shares held by us and our subsidiaries and will not receive any of the proceeds from the sale of common shares by the Selling Shareholder.

All of our common shares that are being offered and sold in this offering are currently held by Quaise Energy, Inc., a Delaware corporation (“Quaise” or the “Selling Shareholder”). Such common shares were issued to Quaise as consideration for the purchase by Nabors (through its designee, Nabors Energy Transition Ventures LLC, a Delaware limited liability company and wholly owned indirect subsidiary of Nabors (“Nabors Energy”)) of shares of Series B-1 Preferred Stock of Quaise, pursuant to the terms and subject to the conditions of the Series B Preferred Stock Purchase Agreement (the “Purchase Agreement”), dated as of August 26, 2026, by and among Quaise, Nabors and Nabors Energy.

The Selling Shareholder from time to time may offer and sell common shares held by it directly or through agents or broker-dealers on terms to be determined at the time of sale, as described in more detail in this prospectus supplement.

Our common shares are listed on the New York Stock Exchange (“NYSE”) under the symbol “NBR.” On August 26, 2026, the last reported sale price of our common shares on the NYSE was $87.49 per share.
