This prospectus supplement relates to the offer and sale from time to time by the selling securityholder named herein of up to 35,114 shares of our common stock, par value $0.00001 per share, issuable by us in private transactions pursuant to the Stock Purchase Agreement, dated as of February 11, 2026, as amended (the “Stock Purchase Agreement”) between us and the selling securityholder named herein (the “selling securityholder”). As used herein, the term selling securityholder includes its transferees, pledgees, distributees, donees, and successors.

We are filing this prospectus supplement pursuant to the terms of the Registration Rights Agreement which we have entered into with the selling securityholder, dated as of February 11, 2026 (the “Registration Rights Agreement”).

The selling securityholder may offer and sell or otherwise dispose of the shares of common stock described in this prospectus supplement from time to time through negotiated transactions or otherwise at prevailing market prices, at prices related to prevailing market prices, or at privately negotiated prices.
