EXPLANATORY NOTE

Centerspace (“Centerspace” or the “Company”) is filing this Amendment No. 1 on Form 8-K/A, which amends the Company’s Form 8-K filed on September 9, 2026 (the “Initial Form 8-K”), solely for the purpose of correcting a typographical error contained in the EDGARized version of the Agreement and Plan of Merger (the “Merger Agreement”), dated as of September 8, 2026, by and among Independence Realty Trust, Inc., a Maryland corporation (“IRT”), Independence Realty Operating Partnership, LP, a Delaware limited partnership (“IROP”), Islanders OP Sub, LLC, a Delaware limited liability company and direct wholly owned subsidiary of IROP (“IROP Merger Sub”), and Centerspace, LP, a North Dakota limited partnership (the “Company OP”) that was filed as Exhibit 2.1 to the Initial Form 8-K.

The cross-reference “Section 8.01(g)” in Section 8.03(a)(iii) of the EDGARized version of the Merger Agreement filed as Exhibit 2.1 to the Initial Form 8-K is incorrect. The correct cross-reference is to “Section 8.01(h).”

Exhibit 2.1 to the Initial Form 8-K should be disregarded.

The summary of the Merger Agreement contained in the Initial Form 8-K is qualified in its entirety by the full text of the Merger Agreement attached hereto as Exhibit 2.1, and the Merger Agreement attached hereto as Exhibit 2.1 is hereby incorporated by reference therein.

The Merger Agreement has been included to provide security holders and investors with information regarding its terms. It is not intended to provide any other factual information about Centerspace, IRT or any other person. The representations, warranties and covenants contained in the Merger Agreement were made solely for purposes of the Merger Agreement and as of specific dates, were solely for the benefit of the parties to the Merger Agreement, may be subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures made for the purposes of allocating contractual risk between the parties to the Merger Agreement instead of establishing these matters as facts, and may be subject to standards of materiality applicable to the contracting parties that differ from those applicable to security holders. Security holders and investors are not third-party beneficiaries under the Merger Agreement and should not rely on the representations, warranties and covenants or any descriptions thereof as characterizations of the actual state of facts or condition of Centerspace or IRT. Moreover, information concerning the subject matter of the representations and warranties may change after the date of the Merger Agreement, which subsequent information may or may not be fully reflected in Centerspace’s or IRT’s public disclosures.

Important Additional Information about the Proposed Transaction and Where to Find It

In connection with the proposed transaction, IRT will file with the SEC a registration statement on Form S-4 that will include a joint proxy statement of Centerspace and IRT and a prospectus of IRT, as well as other relevant documents concerning the proposed transaction. The proposed transaction involving Centerspace and IRT will be submitted to Centerspace’s shareholders and IRT’s shareholders for their consideration.
