Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 20, 2026, Ken Rizvi resigned from his position as the Chief Financial Officer of Synaptics Incorporated (the “Company”), effective immediately, to pursue a new opportunity. Mr. Rizvi will remain employed with the Company in an advisory role through September 30, 2026 to assist with the transition of his responsibilities, and he will continue to receive his current compensation and benefits until his employment terminates. Mr. Rizvi’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, accounting or other policies, or practices.

The Company has elected not to conduct a search at this time for a successor Chief Financial Officer due to the announcement on June 25, 2026 of the pending merger between the Company and ON Semiconductor Corporation (the "Merger"). Instead, effective upon Mr. Rizvi’s resignation as Chief Financial Officer, Rahul Patel, President and Chief Executive Officer of the Company, serves as the Company’s principal financial officer through the closing of the Merger. Mr. Patel will not receive any additional compensation for this interim role. Mr. Patel’s biographical information has been previously disclosed in the Company’s proxy statement for its 2025 annual meeting of stockholders, as filed with the Securities and Exchange Commission on September 16, 2025, which information is incorporated herein by reference.
