Explanation of Responses:

1. Holdings have been adjusted to reflect dividends paid to the reporting person under the dividend reinvestment plan.

2. Holdings have been adjusted to reflect shares added to reporting person's Savings and Profit Sharing account.

3. The reporting person disclaims beneficial ownership of all of the securities held by his spouse, and this report shall not be deemed an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.

4. Holdings have been adjusted to reflect shares added to reporting person's Savings and Profit Sharing account.

5. The phantom stock shares convert to common stock on a 1-for-1 basis.

6. The phantom stock shares were acquired under the Church & Dwight Co., Inc. Deferred Compensation Plan and are to be settled in cash at such time as prescribed by the Plan.

7. Holdings have been adjusted to reflect dividends paid to the reporting person under the Deferred Compensation Plan.
