Explanation of Responses:

1. Each restricted stock unit represents the right to receive, at settlement and upon vesting, one share of common stock.

2. On February 9, 2022, the restricted stock unit was cancelled by mutual agreement of the reporting person and the issuer.

3. 12,000 restricted stock units were granted on March 7, 2022, of which 5,000 restricted stock units vested in July 2022 and the remainder will vest in March 2023 upon attainment of certain criteria.
