2. There was an administrative error on the direct holding share total shown on the form 4 filed on 5/7/2021 which was carried forward. The correct number of shares held in the direct holding is 77,761.

3. Each restricted stock unit represents a contingent right to receive one share of Issuer's common stock.

4. These restricted stock units are granted under the 2020 Long-term Incentive Plan and are subject to a one (1) year vesting schedule.
