1. These shares are owned directly by the Victor Henry David Trione Trust ("Trust"). VHT Management, LLC ("VHT") is the advisor of the Trust and holds the authority and power to monitor the Trust's compliance with federal and state securities laws. Barry A. Beal, Jr., the manager and agent of VHT, has the authority to act on behalf of VHT.
