Explanation of Responses:

1. On April 27, 2021, 144,971 shares of the Company's common stock were transferred out of the 2018 GRAT as an annuity payment to the reporting person's directly held account. Following such payment, the trust was terminated.

2. On November 2, 2021, 419,340 shares of the Company's common stock were transferred out of the 2020 GRAT as an annuity payment to the reporting person's directly held account.

3. On June 3, 2021, the reporting person contributed 185,000 shares of the Company's stock to a grantor retained annuity trust for the benefit of himself and his adult children. The reporting person is trustee and sole annuitant of the 2021 GRAT #1.

4. On Nov 19, 2021, the reporting person contributed 420,000 shares of the Company's common stock to a grantor retained annuity trust for the benefit of himself and his adult children. The reporting person is trustee and sole annuitant of the 2021 GRAT #2.
