Explanation of Responses:

1. The Reporting Person was granted 15,390 common shares at various dates and various prices corresponding with payroll periods in 2020 and 2021. Such grants were pursuant to the matching provisions of the Digital Ally, Inc. 401k and Profit Sharing Plan and Trust. As of December 31, 2021 the Reporting Person holds a total of 25,040 common shares of Digital Ally, Inc. as part of his 401k account.
